rebuild and port?

what kind of performance gain could i expect out of a ford 200 with the cilfford rebuild kit( 264 cam, pistons, lifters, springs) along with the oversized valves and a 2bbl carb, prolly a holly 350 cfm?

also do headers relly make enough of a difference to make them worth it or not?

Do you have a copy of the Falcon Six Performance Handbook? If not, buy it and read it from cover to cover. It will help you make informed decisions about all the things you'd like to do!

It would be an appreciable difference. Maybe 30% more power. Though, I would lean more to a Clay Smith cam as offered by http://www.classicinlines.com. Much more modern profiles than Clifford, Isky or the like. He has reasonably priced rebuild kits too, and I have heard of customer service problems with Clifford in the past couple of years.

Headers? Well, when you upgrade the intake and cam, headers are a natural choice. I'd probably upgrade the ignition first of all, at least to Duraspark specs and a hotter coil.

I'd also recommend the Performance Handbook. There are a lot of helpful tips and specs in there.
